Options for business entities

Choosing the right entity is not an easy task, as there are advantages and disadvantages to each type of entity. Some of the most common business entities are below. Before you select an entity, make sure you understand why you are selecting it and if it is the right choice for you.

  • Limited Liability Company (LLC) - The LLC is the most common form of small business organization being formed recently. An LLC offers flexibility, protection and minimal administrative hassles.

  • Corporation (Inc.) (C or S) – These entities both require more administrative tasks and formalities. However, there are advantages to forming either one which is why consulting with a business attorney is a must.

  • Non-Profit Corporation – The legal form is similar to a for-profit corporation, but a non-profit corporation is formed for some community, educational, religious or charitable purpose. Additional regulations apply, but non-profit corporations can benefit from tax exempt status.

  • Limited Partnership (LP) and Limited Liability Partnerships (LLP) – The limited partnership offers liability protection for the limited partners who are treated as investors. There is no liability protection for the general partner, who retains most of the control of the business.

  • Professional Limited Liability Company (PLLC) – This is similar to the limited liability company form, but designed for restricted professional activities only.

  • Professional Corporation (PC) – This is similar to the corporation form, but designed for restricted professional activities only.

  1. Entity selection base on each individual client’s situation and needs.
  2. Search name availability in both Pennsylvania and the U.S. Patent and Trademark Office to ensure there are no potential issues.
  3. Draft the formation document to be filed with the Department of State.
  4. Federal Registration by obtaining your EIN number.
  5. Post-formation Consultation to ensure the owners have a plan and understand what is required moving forward. We also help them develop relationships with bankers, accountants, insurers, marketers, and advisors who can help the business get off the ground.
